Acceptance

These terms of use (“Terms”) govern your access to and use of DocMark, the AI document-generation product provided by Xcelerent (“Xcelerent”, “we”, “us”), together with the DocMark website and cloud portal. By accessing or using DocMark, you agree to these Terms. If you do not agree, do not use DocMark.

Where you have a separate written agreement, order form or pilot agreement with us, that agreement governs in the event of any conflict with these Terms.

Service description

DocMark generates formatted documents using AI. It ships in three deployment modes:

  • On-prem — DocMark runs on your own hardware and network, air-gapped capable, fully offline, with no data leaving your premises.
  • Client cloud — DocMark runs in your own cloud tenant, managed by you, using your own LLM subscription.
  • DocMark cloud — our managed service at app.docmark.md, run by us on Microsoft Azure with DocMark-managed AI.

Accounts and access

For the DocMark cloud portal, access is via magic-link sign-in to the email address you provide. You are responsible for keeping access to that email account secure and for activity under your account.

For self-managed deployments (on-prem and client cloud), you are responsible for provisioning, configuring and securing your environment, including supplying and managing your own LLM subscription and API keys where applicable.

Acceptable use

You agree not to use DocMark to:

  • create, process or distribute unlawful or infringing content;
  • attempt to access, extract or interfere with another tenant’s data or with the service’s security or integrity; or
  • use the service in a manner that is excessive or unreasonable relative to normal operation.

Customer content and intellectual property

You own the content you submit to DocMark (“inputs”) and you own the documents DocMark generates from those inputs (“outputs”). We claim no ownership of your inputs or outputs.

We retain all ownership of and rights in the DocMark software and platform, including its underlying technology, and nothing in these Terms transfers those rights to you.

Confidentiality

Each party may receive information from the other that is confidential. Each party agrees to protect the other’s confidential information and to use it only as needed to provide or use the service, except where disclosure is required by law.

AI-generated output

DocMark uses AI to generate documents, and AI outputs may contain errors or inaccuracies. You are responsible for reviewing outputs before relying on them or distributing them.

DocMark verifies the formatting and branding of generated documents. It does not verify the factual accuracy of the underlying content. The accuracy, completeness and suitability of output content remain your responsibility.

Warranties and disclaimers

To the maximum extent permitted by law, DocMark is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or exemplary damages, or for loss of profits, revenue or data, arising out of or relating to these Terms or your use of DocMark. Any liability is otherwise limited to the extent permitted by law and as set out in your applicable written agreement with us.

Term and termination

These Terms apply for as long as you use DocMark. We may suspend or terminate access where you materially breach these Terms or where required for the security or integrity of the service. Provisions that by their nature should survive termination — including those on content ownership, confidentiality, disclaimers and limitation of liability — will survive.

Fees

Fees, if any, are set out in your current order form, pilot agreement or other written agreement with us. Please refer to that agreement for pricing and payment terms.

Governing law

These Terms are governed by the laws of Australia.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of DocMark after changes take effect constitutes acceptance of the updated Terms.
